The Bylaws of the Seattle Tennis Club are amended to add the following new Section 7 to Article VII:
Section 7 – Electronic Voting and Notices. (a) Notwithstanding any provision to the contrary in these Bylaws, the Board of Trustees may from time to time adopt (but is not required to adopt) procedures pursuant to which
(i) members may do one or both of the following by electronic transmission, for a particular vote or generally for all votes: (A) cast ballots for the election of Trustees or (B) authorize and deliver to the Secretary proxies referred to above; and
(ii) the Club and the Secretary may send notices to members of meetings and distribute ballots and forms of proxy by electronic transmission.
Ballots and proxies timely provided to the Club pursuant to such procedures (or to a third party engaged by and acting on behalf of the Club) shall be deemed to have been timely delivered at, and actually received by, the Club or the Secretary, as required
(b) Such procedures: (i) may include the use of email or other Internet websites and services provided by the Club – or by a third party engaged by and acting on behalf of the Club, the Secretary and the election board referred to in Section 4 above – to distribute, collect, count and canvass ballots or proxies; (ii) shall not require that members submit ballots or proxies by email or online, and shall provide that hard copy ballots and proxies received timely by delivery or mail to the Club shall be effective; (iii) shall not require members to supply an email address or other means of receiving notices, and the Club shall mail hard copy notices to such members as do not supply email addresses; and (iv) shall, in any event, comply with RCW 24.03A and other applicable law.
The Bylaws of the Seattle Tennis Club are further amended to make the following conforming changes:
Replace "mail" with "send" (and "mails” with "sends") in the second sentence of Article III, Section 1; the fourth sentence of Article III, Section 2; the second sentence of Article VII, Section 3; Article VII, Section 5; and the second sentence of Article X.
Replace "signed" with "authorized" in Sections 5 and 6 of Article VII.
Replace "address" with "address or email address" in the second sentence of Article VII, Section 3.
Delete "in the offices of the Club or at the site of the annual meeting" in Article VII, Section 4, and add at the end of the second sentence thereof: "or to have access to the procedures used by, and information provided by, any third party engaged to complete such canvass, as the case may be."
